Trustpoint.One is pleased to be partnering with the Dallas office of an international law firm in their search for a Corporate Paralegal. We are looking for a skilled corporate paralegal with 5 years of corporate, securities and M&A experience to assist a busy deal team. The successful candidate will be able to provide assistance during transaction closings including assisting with due diligence, corporate filings, maintaining corporate records and tracking deadlines. This position offers training, mentorship and career development.

Responsibilities

• Prepare initial drafts of corporate organizational documents and coordinate filing where necessary.
• Handle name reservations, amendments, merger documents and dissolutions
• Prepare and submit IRS and SEC applications
• Prepare and file SEC Form D and related blue sky filings
• Generate SEC EDGAR filing codes.
• Send documents for execution via DocuSign
• Gather relevant information from a variety of sources
• Prepare for and attend closings

Skills

• Proven working experience as a corporate paralegal
• Highly organized with ability to juggle multiple deadlines in a fast-paced environment
• Strong writing and communication skills along with attention to detail
• Extensive computer and database expertise, including utilizing iManage and EDGAR
• Bachelor's degree required; paralegal certificate is a plus.
